Official Sweepstakes Rules

NO PURCHASE NECESSARY TO ENTER

1) Description of Sweepstakes - Digital River, Inc. (the “Sponsor”) is offering “The Ride of Your Life Sweepstakes” (the “Sweepstakes ”) and will award prizes based on a random selection from all valid entrants in the Sweepstakes. The overall Sweepstakes begins 12:01 AM Central Time (CT) on September 27, 2005 and ends at 11:59 PM CT on March 30, 2006, (Sweepstakes Period). There is one final Grand Prize drawing at the conclusion of the overall Sweepstakes Period and six interim monthly drawing periods during the overall Sweepstakes Period.

2) Eligibility - Sweepstakes is open to legal U.S. and Canadian residents (excluding Quebec), 18 years of age or older who are registered Digital River oneNetwork Affiliates. There is no purchase necessary to sign-up for the Digital River oneNetwork Affiliate Program and you may do so at any time during the Sweepstakes Period. Sweepstakes is void in Quebec and where prohibited by law. Employees and officers and representatives (and members of their immediate families and those living in the same household of each) of Digital River, Inc., its advertising and promotion agencies and any company involved in the design, execution or production of the Sweepstakes are not eligible.

3) How to Enter – A) Become a first-time Digital River oneNetwork Affiliate, by completing the registration form at onenetwork.digitalriver.com/sweepstakes/signup. When you are accepted into the program and you receive your Affiliate ID number, you will automatically receive (10) Sweepstakes entries. For every product available via the oneNetwork Affiliate Program you sell during the Sweepstakes Period, you will receive (10) entries. On your fifth product sale you will receive an additional (50) bonus entries. (An individual may register multiple times under different business entities, but there is a limit of (50) entries he/she can receive from the first-time registration process.)

B) If you are a current oneNetwork Affiliate who has not generated any sales for two consecutive calendar months prior to the start of the Sweepstakes Period or anytime during the Sweepstakes Period, (“Inactive Affiliate”), you will receive (10) entries for each one of the products available via the oneNetwork Affiliate Program you sell upon resuming activity. On your fifth product sale you will receive an additional (50) bonus entries.
Limit, an Inactive Affiliate has only one opportunity to receive the (50) bonus entries associated with the fifth product sale following reactivation of sales activities during the Sweepstakes Period.

C) Individuals who are active oneNetwork Affiliates at the beginning of the Sweepstakes Period (Existing Active Affiliates) will receive (10) entries for the sale of each product available via the oneNetwork Affiliate Program he/she sells during the Sweepstakes Period. Existing Active Affiliates are eligible for the overall Grand Prize Drawing, but are not eligible for the interim monthly drawings.

D) You may also enter by mail by hand printing your Digital River oneNetwork Affiliate ID number, your company name, optional website URL, first and last name, street address, city, state or province, zip or postal code, phone number including area code and your email address on a 3” x 5” card and mailing in a #10 business size envelope to: Digital River oneNetwork Affiliate Program “The Ride of Your Life Sweepstakes”, P.O. Box 92240, Santa Barbara, CA 93190-2240. For Canadian residents, mail your entry to: Digital River oneNetwork Affiliate Program “The Ride of Your Life Sweepstakes”, Box 132, 125A-1030 Denman Street, Vancouver, BC V6G 2M6. No metered mail, and no mechanical reproduction or photocopied entries will be accepted.

4) Entry Deadlines and Schedule for Monthly and Grand Prize Drawings -

With the exception of entries from Existing Active Affiliates, all entries received in a given monthly drawing period will be eligible for that month’s respective drawing. Entries received in a given monthly drawing period will not be rolled over for inclusion in subsequent monthly drawing periods.

All entries, however, received in each of the monthly drawing periods are eligible for the final Grand Prize Drawing.

5) Grand Prize: One Grand Prize Winner will be selected to receive the following prize: An international trip for two provided as participation in the pre-arranged and pre-scheduled “Heaven & Earth Around the World” group expedition package offered by TCS Expeditions, approximate retail value (ARV), $83,900 USD. The 24-day trip prize originates in Fort Lauderdale, FL and concludes in London, England, and the itinerary includes excursions, events and activities in Peru, Chile, Samoa, Australia, Papua New Guinea, Cambodia, India, United Arab Emirates, Tanzania, and Morroco. Air transportation for two, via private jet on the scheduled itinerary and ground transportation for two at itinerary stops is included. Meals, snacks, beverages, gratuities for two and double occupancy hotel accommodations on the scheduled itinerary including Fort Lauderdale and London are included in the trip prize. The trip prize does not include airfare, taxes and ground transportation from the homes of the winner and traveling companion to Fort Lauderdale, FL nor return airfare, taxes and ground transportation from London, England to the homes of the winner and traveling companion. Passport and visa fees, accident, baggage and trip cancellation insurance, and personal expenses such as laundry and phone calls are NOT included. The approximate travel period for the Grand Prize trip is between mid-February 2007 and early March 2007; however the trip is available only on, and must be taken on the exact dates as published by TCS Expeditions in Spring 2006. No alternations or variations are available to the itinerary or any other features of the Grand Prize trip. Participation in the Grand Prize trip is governed entirely by the health eligibility requirements and all terms and conditions set for by TCS Expeditions.

At the time of prize acceptance, the verified Grand Prize winner has the option of receiving a one-time cash payment of $50,000 USD in place of the Grand Prize Trip. Odds of winning the Grand Prize depend on the number of valid entries received during the overall Sweepstakes Period.

6) Monthly Prizes: Twenty xBox 360™ from Microsoft plus a $50 Best Buy® Gift Card prize will be awarded in each of the six monthly drawings; approximate retail value of each prize is $450 USD. There are a total of (120) monthly prizes available in the overall Sweepstakes period with a total approximate retail value of $54,000 USD. In the event of unavailability of the xBox 360™ from Microsoft at the time of winner notification, Sponsor has the option to award the xBox 360™ from Microsoft portion of the prize as a one-time payment of $400 USD. Odds of winning a monthly prize depend upon the number of valid entries for each month’s drawing. Sponsor reserves the right to substitute a prize of equal or greater value for the xBox 360™ from Microsoft plus $50 Best Buy® Gift Card prize in the January, February and March 2006 drawings. In this event, Sponsor will announce the prize substitution no later than December 1, 2005.

7) General: Sponsor reserves the right to remove any registered Digital River oneNetwork Affiliate from the Affiliate program and subsequent participation in the Sweepstakes. You must be a registered Digital River oneNetwork Affiliate at the time of winner selection to be eligible for any prize. The potential winner of the Grand Prize will be required to complete an Affidavit of Eligibility and a Liability/Publicity Release (unless prohibited by law). The Affidavit, and Liability/Publicity Release must be returned within (10) days of receipt of these documents. Potential winner will also be required to send a copy of his/her passport, driver’s license, birth certificate or other appropriate documentation (acceptable to Sponsor) as proof of age and residency. Non-compliance with any of these requirements will result in disqualification, in which case an alternate winner will be chosen. Return of prize notification and/or the Affidavit/Release as undeliverable will result in disqualification and an alternate winner will be selected. Grand Prize trip winner and his/her traveling companion are responsible for securing passports and any documentation needed for international travel. The traveling companion of the Grand Prize trip winner cannot be a minor in his/her state or province of residency and will be required to sign and return a Liability Release/Proof of Age document prior to travel. If the Grand Prize winner has opted to receive the trip prize and at the time of prize acceptance, the trip prize is not available as described, Sponsor has the right to provide a prize of equal or greater value. Sponsor has no obligation for compensation or reimbursement of any kind if the verified Grand Prize winner and traveling companion have accepted the international trip prize and cannot take or complete the trip prize for any reason. Warranty on the xBox 360™ from Microsoft prize is limited to the warranty extended by the manufacturer. If a Canadian resident is selected as a potential prize-winner, her/she will be required to correctly answer a mathematical skill test question as a condition of being named a valid winner.

If, for reasons beyond the Sponsor’s control (including, but not limited to, tampering or computer virus infection), the Sweepstakes is not capable of running as originally planned, the Sponsor, at its sole discretion, reserves the right to cancel or modify the Sweepstakes, without liability and to the extent feasible, will award prizes among entries received prior to cancellation or modification. Sponsor will not be responsible for lost, late, misdirected, damaged, or postage due mail, or for Internet, computer hardware and software, phone, and other technical errors, malfunctions, and delays. Entries are void if they contain typographical or other errors. Entries, which are mutilated, incomplete, illegible, inaccurate, forged, irregular in any way, or otherwise not in compliance with these Official Rules, are also void.

All entrants agree to comply fully with each provision in these Official Rules. Any person attempting to defraud or in any way tamper with this Sweepstakes and any person who does not comply with these Official Rules, will be ineligible for any prize(s) and may be prosecuted to the full extent of the law.

By submitting an Entry, you grant to Digital River, Inc. the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), e-mail address, voice, biographical information, and written or oral statements, for advertising and promotional purposes in promoting or publicizing Digital River, Inc. and its products or services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), e mail address, biographical information, or entry.

8) Release of Liability and Issues of Law: By participating in this Sweepstakes, all entrants release Digital River, Inc. its affiliates, partners, subsidiaries, officers, directors, agents, employees and all entities associated with the development and execution of this promotion from any and all liability with respect to and in any way arising from participating in this promotion, acceptance or use of prizes. Entrants also agree that Digital River, Inc. its affiliates, partners, subsidiaries, officers, directors, agents, employees and all entities associated with the development and execution of this promotion are not responsible or liable for any injury or damage to an entrant's or third person's computer related to or resulting from the Sweepstakes, the Entries and/or its prizes. The Sponsor is not liable for damage to a user's computer system (including, without limitation, any server failure or lost, delayed or corrupted data or other malfunction) due, either directly or indirectly, to an entrant's participation in the Sweepstakes or downloading of information in connection with the Sweepstakes. The Sponsor reserves the right to modify or cancel the Sweepstakes in the event that any portion of any website used to administer any aspect of the Sweepstakes becomes technically corrupted.

All Federal, state and local laws and regulations are applicable. THE MINNESOTA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF MINNESOTA SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS. The Sweepstakes is void where restricted or prohibited by law.

9) Winners List: For a list of winners, send a stamped, self addressed envelope to: The Ride of Your Life Sweepstakes Winners List, 11 W. Victoria Street, STE 207-B, Santa Barbara, CA 93101. Winners lists will be available approximately 15 days following the end date of each of the monthly and Grand Prize Sweepstakes periods. You will receive the most current accumulative winner’s list for all drawings based upon the date we receive your request. The last date by which a request for winners list can be postmarked is 3/31/06.
